TRUSTARS AFFILIATE PROGRAM TERMS AND CONDITIONS
By registering and participating in the Trustars Affiliate Program (the "Program"), the affiliate (the "Affiliate") accepts these terms and conditions (the "Terms").
The Program is operated by Baghead Labs LLC, owner of the Trustars platform (the "Company").
The purpose of the Program is to allow third parties to recommend and refer potential customers to Trustars through links, codes or other tracking mechanisms provided by the Company.
The Affiliate will act solely as a referral generator and not as a representative, distributor, consultant, official partner or commercial agent of the Company.
Participation in the Program does not create an employment relationship, partnership, joint venture, franchise, legal representation or any dependency relationship between the parties.
The Affiliate will act in a fully independent manner and will be responsible for their own tax, regulatory and commercial obligations.
The Affiliate will not have authority to assume obligations, enter into contracts or make binding statements on behalf of the Company.
Participation in the Program is subject to the Company's approval, which may accept, reject or cancel affiliation requests at its sole discretion and without obligation to state any cause.
The Affiliate will be entitled to a recurring commission equal to twenty percent (20%) of the Net Revenue actually received by the Company from eligible customers attributed to the Affiliate.

For the purposes of these Terms, Net Revenue means the amounts actually collected by the Company, excluding taxes, processing fees, discounts, promotional credits, refunds, chargebacks, fraud and uncollectible amounts.
No commissions will be generated for refunded, disputed, reversed or fraudulent payments.
The customer referred by the Affiliate will be entitled to a one-time ten percent (10%) discount, applicable upon subscribing to a paid Trustars plan. The discount applies to the first contracted billing period and is not stackable with other active promotions, coupons or discounts.
An Eligible Customer is one who:
The Company will determine customer attribution using its internal tracking systems and may apply attribution criteria such as "last touch" or other reasonable models.
Attribution decisions will be final.
The Affiliate may not:
Breach of these obligations may result in immediate suspension or definitive termination of participation in the Program.
The Affiliate may not:
The Affiliate must comply with applicable laws and regulations regarding advertising and commercial transparency, including the obligation to properly disclose when a commercial relationship or commission exists for recommendations made.
The Company grants the Affiliate a limited, non-exclusive, revocable and non-transferable license to use only the promotional materials, logos and resources expressly provided by the Company.
Such license will be valid exclusively while the Affiliate remains active and in compliance with these Terms.
The Company may revoke such authorization at any time.
Commissions will be settled monthly.
Payments will be made between day one (1) and day ten (10) of the month following the corresponding period, provided the Affiliate has supplied the tax documentation required by applicable regulations.
The Company may set a minimum accumulated amount equivalent to USD 50 to make payments, automatically rolling over lower balances to the following period.
The Company may withhold payments in case of fraud, disputes, chargebacks, breaches or any situation requiring additional verification.
The Affiliate is solely responsible for compliance with their tax and regulatory obligations.
The Company will not assume any responsibility for taxes, contributions or withholdings applicable to the Affiliate, except as expressly required by law.
The Trustars brand, its commercial identity, customer base, proprietary developments, configurations, integrations and any other asset linked to the business belong exclusively to the Company.
The technology platform used by the Company may include proprietary software or software licensed from third parties, for which the Company holds the rights of use, exploitation and commercialization necessary to provide the services.
The Affiliate does not acquire any rights over these assets or the underlying technology.
Upon termination of participation in the Program, any granted use authorization will automatically cease.
The Affiliate undertakes to keep confidential all non-public information related to the Company, including commercial strategies, special pricing, technical information and customer data.
This obligation will survive for a period of three (3) years following the termination of participation in the Program.
The Company's total liability arising from the Program will not exceed the total amount of commissions actually paid to the Affiliate during the three (3) months prior to the event giving rise to the claim.
Under no circumstances will the Company be liable for indirect damages, loss of profit, loss of business opportunities or consequential damages.
The Affiliate will hold the Company harmless against any claim arising from:
The Company may suspend, withhold or cancel commissions arising from activities that, at its sole discretion, are fraudulent, artificial, abusive or contrary to the spirit of the Program, including:
The Company may modify these Terms, commissions, benefits, features or any aspect of the Program by publishing them on the corresponding website.
Continued participation by the Affiliate will imply acceptance of such modifications.
Modifications will not affect commissions already earned for payments actually collected prior to their entry into force.
The Company may add, modify, discontinue or replace features, products, plans, promotional programs or tools associated with the Program without generating any right to compensation for the Affiliate.
The Company may suspend or terminate the Affiliate's participation at any time and for any reason, including breach, fraud, abusive practices or reputational damage.
The Affiliate may leave the Program at any time by deactivating their account or providing corresponding notice.
Termination of the Program will not give rise to any right to indemnification, compensation or expectation of future income.
Commissions earned up to the effective date of termination will continue to be paid pursuant to these Terms.
No new commissions will be generated for customers who remain active after the termination of the Affiliate's participation.
These Terms will be governed by and construed in accordance with the laws of the Republic of Argentina.
Any dispute arising from the Program will be resolved by binding arbitration under the rules of the General Arbitration Tribunal of the Buenos Aires Stock Exchange, with seat in the Autonomous City of Buenos Aires.
The arbitration award will be final and binding on the parties.
The Affiliate expressly waives the right to participate in class actions or equivalent procedural mechanisms.
These Terms constitute the entire agreement between the Company and the Affiliate regarding the Program and supersede any prior understanding related thereto.
